Terms & Conditions of Sale/Supply

1. Interpretation

  • Supplier: Mercury Electronics

  • Customer: The person or company purchasing goods from Mercury Electronics.

  • Goods: Products supplied as per order and specification.

  • Business Day: Any weekday (excluding weekends and public holidays).


2. Basis of Contract

  • All sales are subject to these Terms & Conditions.

  • Orders placed by the Customer are offers to purchase goods, accepted only when confirmed in writing by Mercury Electronics.

  • Quotations are valid for 20 business days.


3. Goods & Specification

  • Goods will match the agreed specification.

  • Mercury Electronics may amend specifications if required by law or regulation.

  • If specifications are provided by the Customer, they are responsible for ensuring no third-party rights are infringed.


4. Delivery

  • Goods will be delivered to the address specified in the order.

  • Delivery times are estimates only; Mercury Electronics is not liable for delays caused by couriers, customs, or Force Majeure events.

  • Risk passes to the Customer on delivery; ownership passes only once full payment is received.


5. Quality & Warranty

  • Goods are warranted to be free from material defects for 12 months from delivery.

  • Mercury Electronics will repair, replace, or refund defective goods if notified within the warranty period.

  • Warranty does not apply if goods are misused, altered, damaged, or used against instructions.


6. Price & Payment

  • Prices are as per confirmed order or price list in effect at delivery.

  • VAT, packaging, insurance, and delivery costs are payable by the Customer.

  • Payment terms: 20 business days (UK orders).

  • Late payments may incur 1% interest per month.


7. Limitation of Liability

  • Mercury Electronics is not liable for indirect or consequential losses (e.g., loss of profit, revenue, or business).

  • Total liability is limited to the value of the goods supplied.


8. Force Majeure

  • Mercury Electronics is not responsible for delays or failures caused by events beyond its reasonable control (e.g., natural disasters, strikes, transport issues).


9. Governing Law

  • These Terms & Conditions are governed by English law.

  • Any disputes will be subject to the exclusive jurisdiction of the courts of England and Wales.
